Service Agreement for Leaders’ Lounge Members
Introduction
This Service Agreement ("Agreement") is entered into between API Rising LLC (“Provider") and the individual named below ("Member") for the purpose of outlining the terms and conditions under which API Rising LLC will provide its Leaders' Lounge services to the Member.
1. Services Provided
Leaders' Lounge agrees to provide the following services to the Member:
1.1 Access to the online community platform.
1.2 Participation in peer support groups.
1.3 Access to workshops, webinars, and training sessions.
1.4 Networking opportunities with other members.
1.5 Resources and materials to hone leadership and communication skills.
2. Membership Fees
2.1 Membership fees will be $25 per month and communicated to the Member in advance.
2.2 Membership fees are non-refundable and must be paid in full by the due date specified by Leaders' Lounge.
3. Term and Termination
3.1 This Agreement will commence on the date the Member signs up and will continue until terminated by either party.
3.2 Either party may terminate this Agreement at any time.
3.3 API Rising reserves the right to terminate the membership immediately if the Member violates any terms of this Agreement or engages in behavior deemed inappropriate or harmful to the community.
4. Member Responsibilities
4.1 The Member agrees to participate actively and respectfully in the community.
4.2 The Member will adhere to all rules and guidelines set forth by API Rising’s Leaders' Lounge Community.
4.3 The Member will respect the confidentiality and privacy of other members.
4.4 The Member will not use the platform for any illegal or unauthorized purposes.
5. Confidentiality
5.1 All information shared within Leaders' Lounge is confidential and for the exclusive use of the Members.
5.2 The Member agrees not to disclose any confidential information obtained through Leaders' Lounge to any third party without prior written consent from the Provider.
6. Intellectual Property
6.1 All materials, resources, and content provided by Leaders' Lounge are the intellectual property of API Rising LLC.
6.2 The Member agrees not to reproduce, distribute, or share any materials without explicit permission from API Rising LLC.
7. Liability
7.1 API Rising will not be liable for any damages arising from the use or inability to use the services provided.
7.2 The Member agrees to indemnify and hold harmless API Rising from any claims, damages, or expenses arising from their participation in the community.
8. Amendments
8.1 API Rising reserves the right to amend this Agreement at any time.
8.2 Members will be notified of any changes to the Agreement and continued use of the services constitutes acceptance of the new terms.
9. Governing Law
9.1 This Agreement will be governed by and construed in accordance with the laws of the state of California in which API Rising is headquartered.
10. Entire Agreement
10.1 This Agreement constitutes the entire understanding between the Member and Provider regarding the services provided and supersedes all prior agreements, understandings, and representations.
Acceptance
By checking the terms and conditions above, the Member agrees to the terms and conditions outlined in this Agreement.
